Formation Process
We finalize your corporate structure and verify your company name against the national Zefix index. At this stage, we ensure compliance with Swiss law by appointing at least one local representative (either a resident director or a registered signatory) to act as a local point of contact, allowing full control and ownership from abroad if desired.
Switzerland requires the full share capital of CHF 20,000 to be secured before incorporation. We facilitate the opening of a temporary Capital Deposit Account at a Swiss bank to hold these funds in escrow. Once your transfer is complete, the bank issues the official Capital Contribution Certificate required for the legal founding of the company. Optionally you can also make a contribution in Kind such as BTC in Zug but it must be verified for an additional fee.
With the funding certificate in hand, a Swiss Public Notary executes the official Deed of Incorporation. This document formally establishes the company’s statutes and management.
The notarized deed is submitted to the Cantonal Commercial Register for federal publication. Once the company is listed in the Official Gazette of Commerce, it gains full legal personality. The bank then releases your CHF 20,000 into your new active corporate business account, completing the setup of your prestigious Swiss entity.
